Terms of engagement

Acceptance

A study begins when we send a written scope and you confirm it by email, or when you pay the deposit stated on the invoice — whichever comes first. Using this website to read about studies does not create an engagement. If these terms conflict with a signed scope, the scope wins for that commission.

The work

We prepare workforce pictures, reviews, comparisons, pattern studies, and planning briefings as described on this site. We do not supply payroll software, hosted reporting, or an ongoing feed of your people records. Charts and notes reflect the files you provide. If a file is incomplete, the pack will say so.

Your files

You warrant that you have the right to send us the extract and that personal names and unnecessary identifiers have been removed where possible. We use the files only to prepare the agreed study. We do not sell them. After the study, we keep a copy only as described in the privacy notice.

Intellectual property

You may use the delivered pack inside your organisation, including board and lender packets, with the definitions intact. You may not sell the charts as a product, present them as your own original method, or remove caveats. We retain the right to reuse anonymous working techniques (for example, a way of laying out a tenure band) in later studies for other clients. We will not reuse your numbers, unit names, or identifiable story.

Briefings and attendance

Studio, on-site, and online briefings run at the time booked. If your speakers change, tell us before the sitting. Recording rules are as described on the briefings page.

Fees

Fees are in Georgian lari unless the scope says otherwise. Deposits, remaining balances, and what happens if work stops early are set out in the scope and in the refund notice. Informational figures on the rates page are not a standing offer.

Liability

We prepare charts and notes with care. We do not warrant that a board, inspector, or court will accept a particular definition of headcount. We are not your lawyer, auditor, or employer. Our liability for a study is limited to the fee paid for that study, except where the law of Georgia does not allow a limit (for example, liability for intent or for harm that cannot be limited). We are not liable for decisions you take after the briefing, including hiring freezes, dismissals, or pay changes.

Confidentiality

We will not publish your pack. Short client remarks appear on this site only with permission. We may name a sector and a city when describing a case if the organisation cannot be identified.

Governing law

These terms are governed by the law of Georgia. Courts of Tbilisi have jurisdiction, unless a mandatory rule says otherwise.
